Types of Companies in Serbia

D.O.O. (Društvo sa ograničenom odgovornošću)

The primary corporate vehicle for foreign investors. The minimum share capital is RSD 100 (approximately EUR 1). There is no requirement for the director or shareholder to be a Serbian resident, and no obligation to maintain a physical office. One founder minimum — an individual or legal entity of any nationality.

A.D. (Akcionarsko društvo)

Suitable for larger projects and public offerings. The minimum share capital is RSD 3,000,000 (approximately EUR 25,600). A minimum of one shareholder is required.

O.D. (Ortačko društvo)

Partners bear unlimited joint and several liability. A minimum of two partners is required. Suitable for professional services and family businesses.

K.D. (Komanditno društvo)

Combines general partners (unlimited liability) with limited partners (liability limited to contribution). A minimum of two partners is required.

Company Registration Procedure

Companies in Serbia are registered with the Serbian Business Registers Agency (APR — Agencija za privredne registre). The registration process follows seven steps:

Company name check and reservation.

Verification of name availability through the APR database and reservation of the chosen name.
