Legal Form of a Logistics Company

A logistics company in the Czech Republic is set up as a limited liability company (s.r.o.) that then obtains all permits and authorisations required to commence freight transport operations. This set-up suits founders, including nationals of non-EU countries, who plan to carry goods for hire through a company based in the Czech Republic.

s.r.o. (limited liability company)

The company is registered first, in person or remotely; the transport concession, EURO Licence, TAHO card and Mýto registration are then carried out in parallel. Under Czech law, the concession for transport with large vehicles is granted only to a company with its registered office in the Czech Republic. An operator already authorised for such transport in another EU member state cannot obtain it.

Individual articles of association (Společenská smlouva)

Tailored articles of association are drafted to address the specific needs of the logistics company.

Key Requirements

Financial standing (for transport concession):

EUR 9,000 for the first vehicle and EUR 5,000 for each additional vehicle. Proof may be provided by bank statement, bank guarantee or a specialist financial standing insurance policy. A newly formed company that keeps accounts may prove it with its opening balance sheet.

Odpovědný zástupce (Responsible Representative):

A natural person holding a valid Certificate of Professional Competence (CPC) in road freight transport. Must be named in the concession application and contractually engaged with the company. COREDO provides the service of acting as Odpovědný zástupce directly. The certificate is issued by the regional transport authority (krajský úřad) after a written exam in Czech, made up of a test and a case study. One representative may act for no more than 4 carriers with a combined fleet of up to 50 large vehicles.

Physical registered office:

A virtual address is not acceptable for the transport concession. A physical office address with the written consent of the property owner is required. The concession application must include a document proving the company’s right to use these premises and one proving its right to use at least 1 large vehicle once the concession is granted.

Documents from all participants (directors and shareholders):

International passport (original or notarised copy) and criminal record certificate — for Czech residents the standard extract, for non-EU nationals from the country of origin with apostille and certified translation.

Large vehicles and good repute:

Czech law treats as large any goods vehicle or combination over 3.5 t, and one over 2.5 t up to 3.5 t when used in international transport. Carrying goods for hire with such vehicles requires a stable establishment, good repute, financial standing and professional competence. Good repute follows the clean-record test of the Trade Licensing Act, and EU rules treat manipulating a tachograph as a serious infringement leading to its loss.

Scope of Services

Company Registration (s.r.o.)

Preparation of all documents for registration and incorporation (in person or remotely), registered legal address for 12 months, payment of state registration fees, registration in accordance with Czech law, obtaining the required trade licence from the Trade Licensing Office, and document translations where required.

01

Transport Concession and EURO Licence

Preparation and submission of the concession application to the relevant transport authority. Support in obtaining the EURO Licence for international freight operations. Coordination with the Odpovědný zástupce throughout the licensing process.

02

TAHO Card (Podniková karta)

Preparation and submission of the application for the company’s digital tachograph card (Podniková karta). Required documents: extract from the Commercial Register and power of attorney from the director if filed by a third party. By law, the municipal office with extended powers issues the company card within 15 working days of the application, provided the company already holds its trade authorisation.

03

Odpovědný zástupce – Audit and Contract

Verification of the Certificate of Professional Competence, compliance check against statutory requirements, and preparation of the engagement agreement.

04

Mýto Registration

Registration of the company’s vehicles in the Czech road toll payment system (mandatory for vehicles over 3.5 t).

05

Transport Authority Review and EURO Licence

The regional transport authority gives the trade licensing office its opinion on the concession application, checking the establishment, financial standing and the responsible representative. It may ask for missing documents within a set period, and the time for its opinion stops running meanwhile. On a separate application, it issues the EURO Licence for renewable periods of up to 10 years, with a copy for each large vehicle covered by the proven financial standing.

06

Additional Operational Considerations

ČESMAD BOHEMIA membership:

The Czech road transport association through which CEMT permits, TIR carnets and bilateral transport permits are issued. Membership is required for transport operations outside the EU. COREDO can assist with the membership application process.

CMR insurance:

Carrier’s liability insurance under the CMR Convention is the industry standard for international freight. While not a statutory requirement, it is a practical prerequisite for operations. CMR insurance is separate from and does not substitute the financial standing requirement. Czech law also applies the CMR rules on the contract of carriage and the carrier’s liability, by analogy, to domestic road freight.

Operations outside the EU (CIS):

EORI number (mandatory for customs, approximately 2 working days), CEMT permits (multilateral, via ČESMAD BOHEMIA), TIR carnet (required for cross-border transit), Belarus transit permit (required per journey).

Dangerous goods transport (ADR):

Bezpečnostní poradce ADR (Safety Adviser) is mandatory (in-house or external), ADR vehicle inspection required, ADR driver certificate (valid for 5 years), extended insurance coverage required.

Driver permits for non-EU nationals (Osvědčení řidiče):

Drivers who are nationals of non-EU countries require a Driver Certificate pursuant to EU Regulation. The transport authority issues it on application, with documents such as the driver’s passport, residence permit, employment contract and driving licence. It is valid for up to 5 years and only while the conditions of issue are met; the original travels in the vehicle and a certified copy stays at the company’s premises.

Cabotage in other EU countries:

With the EURO Licence, the company may carry out up to 3 domestic transport operations in another EU member state after delivering an incoming international load there. The last unloading must take place within 7 days of that delivery; drivers from non-EU countries need the driver certificate for this too.

Required Documents

  • International passport of each director and shareholder (original or notarised copy)
  • Criminal record certificate: Czech Republic extract + country of origin (apostille and certified translation required for non-EU nationals)
  • Written consent of the property owner to use the address as the company’s registered office (virtual offices not accepted)
  • Proof of financial standing: EUR 9,000 for the first vehicle and EUR 5,000 for each additional vehicle
  • Certificate of Professional Competence of the Odpovědný zástupce
  • For VAT registration: letters of intent with clients; confirmation of vehicle ownership or lease agreement

Prior to commencement of the project, a standard client due diligence (KYC/AML) check is conducted in accordance with applicable compliance and regulatory requirements.

Frequently Asked Questions

Can the company be registered remotely?

Yes, COREDO handles all registration and licensing processes, including preparation of documents and interaction with authorities. Physical presence of the founder is not mandatory for company registration itself. However, certain steps (such as signing documents for the transport concession) may require coordination with local representatives.

What is the financial standing requirement?

EUR 9,000 for the first vehicle and EUR 5,000 for each additional vehicle. This can be demonstrated through a bank statement, bank guarantee, or specialist financial standing insurance policy.

What is an Odpovědný zástupce?

The Odpovědný zástupce (Responsible Representative) is a natural person holding a valid Certificate of Professional Competence (CPC) in road freight transport. Czech law requires every transport operator to appoint one. COREDO can provide this service directly.

Is a virtual office sufficient for a transport company?

No, a virtual address is not acceptable for the transport concession. A physical office address with written consent of the property owner is required. COREDO provides a suitable registered address as part of the package.

How long does it take to get the EURO Licence?

The transport concession and EURO Licence typically take 1–3 months, depending on the processing time of the competent authority and the speed of information exchange between the parties.

Does COREDO find a Responsible Representative for the company?

No, COREDO does not provide search services for a Responsible Representative. COREDO can, however, act as the company’s Odpovědný zástupce directly, as an additional service.

What happens if the responsible representative leaves?

The transport authority sets a deadline for appointing a new one; under EU rules it may not exceed 6 months, extendable by 3 months if the representative dies or becomes incapacitated. The company may keep operating during that period. If no new representative is submitted for approval in time, the trade licensing office revokes or narrows the concession.
