Doing Business in Poland

Poland has a 9% CIT rate for small businesses and one supervisor for financial companies, the KNF. Three areas matter most for a foreign company: tax, licensing and reporting. Poland is open to foreign investment and provides government support to new companies that create jobs. The KNF supervises SPI, NPI and CASP entities under PSD2 and MiCA, and KSeF electronic invoicing is mandatory for Polish companies and for foreign companies with a permanent establishment.

COREDO provides a full range of legal services for businesses operating in Poland. We work for foreign companies, non-residents with a permanent establishment, regulated financial entities, startups and companies facing KNF inspections or tax audits. Our lawyers prepare documents, review contracts and represent clients before the KNF and other authorities.

Business Environment in Poland

Taxation

In Poland, the standard CIT rate is 19%, while small businesses benefit from a 9% rate. The IP Box regime allows a 5% tax rate on income derived from qualified intellectual property. VAT is 23%, with reduced rates of 5% and 8%. Since 2026, the mandatory KSeF electronic invoicing system has been in force.

Licensing

Licences are required for financial services, transport, pharmaceuticals, alcohol trade, and other regulated sectors. Financial companies, including SPI, NPI, and CASP entities, are supervised by the KNF and must comply with PSD2 and MiCA requirements.

Reporting

Companies must file CIT and VAT returns, as well as payroll tax reports. Annual financial statements must be submitted to the Urząd Skarbowy by 1 March. Since 2026, the use of KSeF has been mandatory for both Polish and foreign companies operating through a permanent establishment.

How We Work

Initial consultation

we analyse the client’s objectives, risks, and goals; we determine the scope of legal support required.

01

Legal audit

we review corporate documents, contracts, and licensing status; we identify non-compliance and vulnerabilities.

02

Strategy development

we define an optimal legal support plan with clear timelines and areas of responsibility.

03

Legal support

we prepare documentation, conduct negotiations, and represent the client before KNF and other authorities.

04

Ongoing support and monitoring

we track changes in Polish and European legislation; we notify the client in a timely manner.

05

For registration we need three proposed company names, two identity documents of each director and shareholder, proof of residential address not older than 3 months and a signed KYC form. Keeping the company running involves yearly costs: the state fee for filing the balance sheet and financial report, the preparation and filing of income tax returns, and the virtual office with the registered address.
