Doing Business in Italy
Italy has a well-developed industrial base, agricultural sector and services industry — a broad market for foreign investors. Italy’s tax and reporting rules are layered, so a foreign company should know them before it starts. Three areas shape your obligations: tax, licensing and reporting. Consob and Banca d’Italia supervise the financial sector, and annual financial statements are filed with the Registro delle Imprese.
COREDO provides comprehensive legal support for companies operating in Italy. We work for foreign investors setting up an SRL, non-residents, regulated entities and technology companies, and for companies facing Consob inspections, Agenzia delle Entrate enquiries or court disputes. Our lawyers review contracts under Italian law and deal with Consob, Banca d’Italia and the Agenzia delle Entrate for you.

For an S.r.l. or S.r.l.s., one shareholder and one director are enough, they can be the same person, and neither has to be resident in Italy. Each foreign director and shareholder needs an Italian fiscal code; we manage the application, which is usually processed the same day. You sign the deed before an Italian notary at a virtual meeting with a digital signature device, through a notarised and apostilled power of attorney, or in person with our notary in Milan. The VAT number (Partita IVA) usually follows within 2 working days and the certificate of incorporation (Visura) within 2–3 days. We need two identity documents for every shareholder and director, proof of address not older than 3 months and a signed KYC form.
