Company Formation in Slovenia

Why Register a Company in Slovenia

A Slovenian company gives you direct access to the EU market: the country is in the EU and the eurozone, at the crossroads of Western, Eastern and Southern Europe. Foreigners can fully own the company in most sectors, and a stable economy and relatively low running costs come with a competitive corporate tax with allowances and a tax treaty network.

COREDO has worked since 2016 and registers the company fully remotely under a power of attorney — no travel to Slovenia needed. We run the process from documents to registration.

Types of Companies in Slovenia

Slovenian legislation provides several legal forms for conducting business. The choice of the optimal form depends on the scale of the planned activity, the number of participants, the volume of investment, and the strategic objectives of the business.

D.o.o. (družba z omejeno odgovornostjo) — limited liability company.

The most popular form for foreign investors. It can be established by one natural or legal person, with a maximum of 50 participants. The minimum share capital is EUR 7,500 and may be contributed in cash or in kind. Before registration, each participant pays in at least a quarter of their contribution, and at least EUR 7,500 must be paid in overall. Participants’ liability is limited to the amount of their contributions.

D.d. (delniška družba) — joint-stock company.

Suitable for medium and large businesses. The founders may be natural or legal persons, with no limit on the number of shareholders. The minimum share capital is EUR 25,000; at least one third of the capital consists of shares paid for in cash, and at least 25% of the nominal value of each such share is paid in before registration.

K.d.d. (komanditna delniška družba) — limited partnership with shares.

The articles of association are adopted by at least five persons. Its capital is governed by the rules for a joint-stock company.

D.n.o. (družba z neomejeno odgovornostjo) — general partnership.

Created by at least two natural or legal persons. There are no capital contribution requirements; participants bear unlimited joint and several liability.

S.p. (samostojni podjetnik) — sole proprietor.

The simplest form for conducting activity by a single natural person. There are no share capital requirements. The entrepreneur bears unlimited liability with all personal assets. Registration is carried out through the SPOT portal and takes minimal time.

Branch of a foreign company.

A foreign company may open a branch in Slovenia: registration requires an extract from the parent company’s register and its certified report for the most recent year. A branch is not an independent legal entity and acts on behalf of the parent organisation. The branch’s activity must correspond to the statutory activity of the parent company, and financial statements are filed as part of the parent organisation’s reporting.

Company Registration Procedure

Companies in Slovenia are registered by the court: the company is entered in the court register. The procedure can be completed online through the state portal SPOT (Slovenska poslovna točka) or through a notary. COREDO registers the company fully remotely on the basis of a notarised power of attorney — there is no need to travel to Slovenia.

The main stages of registration include the following steps.

First

Verifying the uniqueness of the company name in the AJPES register (Agencija za javnopravne evidence in storitve).

01

Second

Preparing the founding act (for online registration via SPOT, a standard electronic form is used).

02

Third

Opening a transit bank account at a Slovenian bank and depositing the minimum share capital.

03

Fourth

Submitting a registration application to the court register through the SPOT portal or through a notary.

04

Fifth

Obtaining a tax number from the Financial Administration of the Republic of Slovenia (FURS).

05

Sixth

Registration with the social insurance system if the company plans to hire employees.

06

Non-residents of Slovenia are required to obtain a Slovenian tax number in advance. For citizens of non-EU countries, when establishing a company with an investment of EUR 30,000 or more, a single work and residence permit may be obtained. A foreigner who holds at least 51% of a d.o.o. may work in their own company without a labour market test.

Required Documents

To register a company in Slovenia, the following are required:

  • a founding act (for registration via SPOT, a standard form is used);
  • identity documents of the founders and directors;
  • confirmation of a registered office in Slovenia;
  • confirmation of the share capital deposit from a Slovenian bank;
  • a resolution on the appointment of directors.
  • three preferred company names in order of priority;
  • a scan of the passport and of an ID card or driving licence, both sides — for each director and shareholder;
  • proof of residential address: a utility bill or bank statement not older than three months;
  • a description of the planned business activities.

COREDO prepares this set for AJPES — preparing and filing the documents is part of the package. All documents are submitted in Slovenian. Foreign documents must be translated by a sworn translator and, where necessary, apostilled or legalised depending on the country of origin. For legal entity founders, an extract from the commercial register of the country of registration is additionally required, confirming legal capacity and signatory authority.

To start the registration through COREDO, we need the following from you:

If any other information or documents are needed along the way, we will tell you exactly what to prepare. Before we start, we carry out a standard KYC/AML check, as compliance rules require.

Registration Timeframes

Court registration — Registration of a company in the Slovenian court register takes approximately 3–5 business days from the moment a complete set of documents is filed.

Turnkey process — The whole turnkey process, including Slovenian tax numbers for foreign founders, typically takes 1–3 weeks from the moment we have received all the required documents from you.

VAT number — If the company requires a VAT number, obtaining it takes approximately 2–3 weeks from the application.

Bank account service — COREDO handles corporate bank account opening as a separate service — more on that below.

Tax System of Slovenia

Slovenia offers a competitive tax system.

Corporate income tax — The base corporate income tax rate is 19%. For the 2024–2028 tax years, the rate is temporarily raised to 22%, and from 2029 the base rate of 19% applies again. The tax base can be reduced through allowances for investment in research and development (R&D) and an investment allowance.

VAT — The standard value added tax (VAT, Slovenian abbreviation DDV) rate is 22%, with a reduced rate of 9.5%. VAT registration is compulsory once annual turnover exceeds EUR 60,000 (the threshold has applied since 1 January 2025); voluntary registration is possible from the company’s inception.

Dividend withholding tax and treaties — Dividend withholding tax is 15%; reduced or zero rates apply under EU directives and tax treaties. Slovenia has concluded double taxation avoidance agreements with more than 50 countries, creating favourable conditions for international business. Dividends paid between related companies within the EU may be exempt from taxation under the Parent-Subsidiary Directive, subject to the minimum participation threshold.

Social security contributions — Employer social security contributions amount to approximately 17.1% of the employee’s gross salary (including the 1% long-term care contribution in force since 1 July 2025).

How these rates apply to your structure is best confirmed with a qualified Slovenian tax adviser.

Opening a Bank Account

Permanent corporate account — After company registration, a key step is opening a permanent corporate bank account — in addition to the transit account used for depositing the share capital.

Alternatives to traditional banks — European payment institutions and fintech solutions with access to the SEPA payment infrastructure serve as an alternative to traditional banks.

COREDO’s support — Banks look at non-residents particularly closely, which is why COREDO selects a banking or payment solution to fit the specifics of your business and supports the account opening at every stage.

Cost — The corporate account opening service costs from EUR 2,000 + VAT.

Annual Obligations of a Company

Companies registered in Slovenia are required to fulfil a number of regular obligations.

Corporate tax return The corporate tax return is filed with the Financial Administration (FURS) by 31 March of the year following the reporting year.
VAT returns VAT-registered companies are required to file VAT returns monthly or quarterly depending on turnover volume.
Accounting records Companies are also required to maintain accounting records under the Slovenian Accounting Standards (SRS) or International Financial Reporting Standards (IFRS).

Accounting and reporting can be handed over to COREDO — we quote the cost individually.

Frequently Asked Questions

Can a foreigner register a company in Slovenia without a local partner?

Yes, Slovenian legislation allows full foreign ownership of companies. A foreign citizen can independently establish a d.o.o. without engaging a local partner or shareholder. Directors and participants may be of any nationality and live in any country in the world.

What is the minimum capital required to create a d.o.o.?

The minimum share capital for a d.o.o. is EUR 7,500 and may be contributed in cash or in kind. The minimum contribution from a single participant is EUR 50.

How long does it take to register a company in Slovenia?

The company appears in the court register approximately 3–5 business days after a complete set of documents is filed, and the whole turnkey route, with tax numbers for foreign founders, typically takes 1–3 weeks. For regulated activities, a permit or a qualified specialist will be needed before you start. The entry conditions are published by the SPOT portal in its list of regulated activities.

Is a Slovenian visa or residence permit required to register a company?

A visa is not required for the registration itself. A founder who does not manage the company does not need a work permit either. A foreign director from a non-EU country needs a permit for a foreign representative: if the company is less than six months old, an investment of at least EUR 30,000 in its launch is evidenced for that permit.

What tax advantages does Slovenia offer?

Dividends paid by a subsidiary to a parent company in another EU country are exempt from withholding tax if the parent holds at least 10% of the capital. For recipients outside the EU, the rate depends on the double taxation avoidance agreement and the size of the holding.

What are the annual obligations of a company in Slovenia?

The corporate income tax return is filed through the eDavki portal by 31 March, and the tax still due after deducting advance payments is paid within 30 days of filing. The tax authority refunds or offsets any overpayment within the same 30 days. The annual report is drawn up within three months of the end of the financial year, which need not coincide with the calendar year.
