Types of Companies in Bosnia and Herzegovina

Local legislation allows foreign entrepreneurs to register various legal forms of business entities.

d.o.o. (društvo s ograničenom odgovornošću)

limited liability company. A company may be founded by either a natural person or a legal entity; in Republika Srpska, a d.o.o. may have no more than 50 members. The minimum share capital in the Federation of Bosnia and Herzegovina is BAM 1,000: in-kind contributions are paid in full, and cash contributions at least half, and at least BAM 1,000, before filing the registration application. In Republika Srpska, the cash portion of the capital can start from BAM 1 and is paid into a temporary account before registration. If the cash portion of the capital in Republika Srpska is BAM 5,000 or more, at least half must be paid before registration, with the remainder due by the deadline set in the founding act, but no later than two years after registration. The company may carry out all activities not prohibited by law; an activity for which the law requires a permit or licence may be carried out once that permit or licence is obtained. It can also be a single-member company (jednočlano d.o.o.).

d.d. (dioničko društvo)

joint-stock company. Suitable for large projects requiring substantial investment and a broad range of shareholders. A joint-stock company may be open or closed. In the Federation, an open company may not restrict the transfer of shares to third parties, while in Republika Srpska it offers shares by public subscription. In Republika Srpska, a closed company issues shares only to its founders or to a limited circle of persons.

Limited partnership (komanditno društvo)

combines at least one general partner with unlimited liability and one or more limited partners (komanditors) who are liable only up to the amount of their contribution. This form is used when several partners collaborate with different levels of involvement in management.

General partnership (d.n.o., ortačko društvo)

in the Federation — društvo sa neograničenom solidarnom odgovornošću (d.n.o.), in Republika Srpska — ortačko društvo. It implies unlimited joint and several liability of all partners for the company’s obligations.

Branch (podružnica) of a foreign company

allows a foreign legal entity to conduct business in Bosnia and Herzegovina directly. A branch is not a separate legal entity — the parent company bears liability for its obligations.

Representative office of a foreign company

serves market research, information and promotional activities and the representation of its founder. It is not a legal entity and cannot conclude contracts in the founder’s name; representative offices of foreign air carriers may sell transport documents. It starts work after entry in the Register of Foreign Representative Offices kept by the Ministry of Foreign Trade and Economic Relations of BiH.

Company Registration Procedure

Bosnia and Herzegovina consists of two entities — the Federation of Bosnia and Herzegovina and Republika Srpska. The Brčko District is a separate unit of local self-government under the state’s sovereignty, with its own institutions and laws. Key legislative acts include the Framework Law on Registration of Business Entities and the Law on Commercial Companies. In practice, the Federation and Republika Srpska each have their own company law, court registers and secondary regulations, so the set of documents is prepared under the rules of the entity where the company is registered.

To establish a company in Bosnia and Herzegovina, founders go through the following steps:

Company name

Founders choose a unique name for the company.

01

Incorporation documents

Founders prepare the founding protocol and articles of association, collect documents from directors and shareholders, appoint a general director and determine the share capital amount. One founder signs a decision on establishment, several founders sign a contract. In the Federation, the founders’ signatures on the founding agreement are certified in the manner established by law. In Republika Srpska, the founding act is as a general rule notarised; certification of the signature is enough only for a single-member d.o.o. that pays in the minimum cash portion of the capital.

02

Filing with the registration court

In the Federation, the prepared set of documents is submitted to the registration court, with payment of registration and state fees; the competent court is determined by the company’s registered office. The client pays these fees separately, on top of COREDO’s fee. In Republika Srpska, the application is received by the APIF agency, which forwards it to the registration court and the tax authority. Before filing, the share capital — to the extent the law requires it to be paid before registration — is paid into a temporary bank account, and after registration becomes the company’s own working capital.

03

Entry in the court register

The court issues a decision on registration, and the company’s data is entered into the court register of business entities. In the Federation, the decision, once it takes effect, is published without delay on the court’s notice board and on the register’s website.

04

Bank account

The next step is opening a bank account.

05

Tax registration

The company must be registered with the tax authorities. The Tax Administration assigns the company its tax identification number (JIB), and the statistics authority records its activity classification. VAT registration is made with the Indirect Taxation Authority.

06

Start of activity

In the Federation, the company starts its activity once it is entered in the register. The court itself sends the registration decision to the municipal service, the cantonal economy authority, the statistics authority and the pension fund. An activity for which the law requires a permit or licence is started once that permit or licence is obtained.

The law requires certified signatures for the founding act and for the signature of the person authorised to represent the company.

07

Required Documents

The following documents are needed for company registration:

  • the founding protocol and articles of association;
  • identity documents of the founders and directors;
  • the company’s registered office address (sjedište);
  • a resolution appointing the director;
  • confirmation of share capital payment.

In Republika Srpska, a document in a foreign language is accompanied by a translation from an authorised court translator; a notary there certifies the signature of the person authorised to represent the company and that person’s statement accepting the office. In the Federation, that person’s signature is certified on the registration application form.

Registration Timeline

The time it takes to register a new legal entity in Bosnia and Herzegovina depends on the chosen registration region and the specifics of the business activity.

Stage Statutory deadline Note
Decision of the registration court in the Federation 5 days From filing of a duly completed application
Decision of the registration court in Republika Srpska 2 days From receipt of the application, filed through the APIF agency
JIB assigned by the tax authority in Republika Srpska Same day or within 2 days at the latest The tax authority receives the application from APIF

VAT registration with the Indirect Taxation Authority and opening a bank account follow after the court decision. If documents need an apostille abroad, allow extra time for this.

Tax System

The corporate income tax (CIT) rate is 10% in both the Federation of BiH and Republika Srpska. The Brčko District applies the same 10% rate.

The standard value-added tax (VAT) rate is 17%. Mandatory VAT registration is required when annual turnover reaches BAM 100,000. Indirect taxes, including VAT, are administered at the state level, while direct taxes are administered at the entity level.

Tax incentives are available for businesses. In the Federation, a company that invests its own funds in production equipment for an amount exceeding 50% of its profit for the current period reduces its assessed corporate income tax by 30% in the year of the investment. The incentive is retained subject to conditions — for example, dividends may not be paid out of the tax-exempt profit until the third year after the last year the incentive was applied. Bosnia and Herzegovina has DTA agreements with 38 countries.

In the Federation, as of 1 July 2025 employer contributions are 2.5% for pension insurance, 2.0% for health insurance and 0.5% for unemployment insurance. Employee contributions in the Federation are significantly higher (31%), which should be considered when planning labour costs.

Companies resident in the Federation and Republika Srpska pay corporate income tax on income earned both in Bosnia and Herzegovina and abroad, and tax paid abroad is credited. Professional advice is therefore recommended when structuring a group of companies.

Dividends

Dividends that a company in the Federation pays to a foreign corporate shareholder bear a 5% withholding tax, which an applicable double taxation treaty may reduce.

Salaries

Personal income tax on salaries is 10% in the Federation and 8% in Republika Srpska. Social security contributions are calculated on the gross wage.

VAT and customs

The Indirect Taxation Authority collects VAT, customs duties and excises across the whole country; below the BAM 100,000 threshold VAT registration is optional. Equipment that a foreign investor imports as part of the share capital is exempt from customs duties, except passenger vehicles and slot and gambling machines.

Annual duties

The company files annual financial statements and corporate income tax declarations. In the Federation, the law provides for a misdemeanour fine for failing to file the tax declaration and the tax balance sheet.

Frequently Asked Questions

Does the founder need to be a resident of Bosnia and Herzegovina to register a company?

No. Foreign investors invest on the same terms as residents of Bosnia and Herzegovina, so foreign nationals can register a company on the same terms as the country’s residents.

What is the minimum share capital for an LLC (d.o.o.) in Bosnia and Herzegovina?

The minimum share capital depends on the registration region. In the Federation of Bosnia and Herzegovina, the minimum share capital is BAM 1,000, while in Republika Srpska the cash portion of the capital starts from BAM 1. In the Federation of BiH, at least half of the cash contributions to the share capital, but no less than BAM 1,000, must be paid before filing the registration application.

How long does company registration take?

Under the law, the registration court in the Federation issues its decision within five days of filing of a duly completed application, and in Republika Srpska within two days of receiving it. How long the whole process takes depends on how ready the set of documents is.

What is the corporate tax rate in Bosnia and Herzegovina?

The corporate income tax (CIT) rate is 10% and applies in both the Federation of BiH and Republika Srpska. In addition, in the Federation, companies investing more than half of their profit in production equipment have their assessed tax reduced by 30% — making the jurisdiction attractive for manufacturing businesses.

What is the difference between registering in the Federation of BiH and Republika Srpska?

Each entity has its own legislation. The main differences concern the minimum share capital, payment requirements, and specific administrative procedures. Our specialists will help you choose the optimal registration region for your company.

Can I register a company in Bosnia and Herzegovina without travelling there?

A d.o.o. can be established and the registration application filed through a representative. In the Federation, the d.o.o.’s founding agreement may be signed by a representative under a power of attorney with the founder’s certified signature, and the application to the court is filed by an authorised representative — a lawyer or a notary. In Republika Srpska, the application is filed by a person holding a general or special power of attorney. Whether a personal visit is needed to open the account is for the bank to decide.

Can a foreigner own 100% of a company in Bosnia and Herzegovina?

Yes. Foreign individuals and legal entities may hold 100% of the share capital of a d.o.o. in virtually all sectors. The restriction applies in a narrow range of sensitive sectors: in the production and sale of weapons, ammunition and military equipment, and in media, foreign investor ownership does not exceed 49%, unless the entity’s government has decided otherwise.
