Types of Companies in Saint Lucia
IBC (International Business Company) — the primary corporate vehicle for international clients. An IBC is incorporated under the International Business Companies Act of 1999, which remains in force as amended. Since the 2018 reform, IBCs registered from 1 January 2019 follow new rules on tax residence and economic substance.
Company Registration Procedure
An IBC is registered under the International Business Companies Act by a registered agent licensed under the Registered Agent and Trustee Licensing Act. The registration process includes:
Company name verification and reservation.
Verification of name availability and reservation of the name. An IBC name must contain ‘Limited’, ‘Corporation’, ‘Incorporated’, ‘Societe Anonyme’ or ‘Sociedad Anonima’, or the abbreviation ‘Ltd’, ‘Corp’, ‘Inc.’ or ‘S.A.’, and end with the words ‘International Business Company’ or the abbreviation ‘IBC’. The Registrar will refuse a name that is identical or misleadingly similar to the name of an existing company without that company’s consent, as well as a name containing words such as ‘Bank’, ‘Insurance’, ‘Fund’ or ‘Trust’. The chosen name can be reserved for up to 30 days; no fee is charged when the registered agent reserves it for up to 10 days.
Client due diligence (KYC/AML).
Standard compliance check conducted prior to commencement of the registration procedure.
Preparation of incorporation documents.
Preparation of the Memorandum and Articles of Association, share certificates, and other required corporate documents.
Filing with the Saint Lucia Registry.
Submission of incorporation documents through the registered agent.
Issuance of the Certificate of Incorporation.
The Registry issues the Certificate of Incorporation confirming the company’s legal existence.
Post-incorporation compliance.
Registration with the Inland Revenue Department, issuance of a Tax Account Number (TAN), and setup of ongoing compliance processes. The company needs the TAN to file its annual income tax returns. The Inland Revenue registration form is signed by a director or the company secretary and submitted with the certificate of incorporation and a list of employees with their NIC numbers and dates of employment. From the date of registration, the IBC keeps a share register and a register of beneficial owners at its registered office.
Corporate documents.
You receive the full set of registered company documents: the Certificate of Incorporation, the Memorandum and Articles of Association and the share certificates.
A licensed registered agent files the application for registration and the incorporation documents with the Registrar; the agent’s services for the first year are included in the COREDO package.

Tax System of Saint Lucia
Saint Lucia reformed its IBC regime in 2018: Act No 13 of 2018 abolished the preferential tax treatment. The choice between full exemption and a 1% rate applied only to IBCs incorporated before 1 December 2018, and only until a transitional period ended in 2021. An IBC registered from 1 January 2019 is tax resident in Saint Lucia and is taxed under the general territorial system.
The EU Code of Conduct Group assessed both the old IBC regime and the foreign-source income exemption that followed it as harmful. Saint Lucia amended both, and the EU Council endorsed the changes in March 2019 and February 2021.
